Group Legal Director

We are seeking an accomplished Group Legal Director to lead the organization’s legal, corporate governance, regulatory compliance, and corporate affairs functions. The successful candidate will provide strategic legal guidance to executive leadership, oversee complex legal matters, manage corporate governance frameworks, and ensure compliance with applicable laws and regulatory requirements across the Group. This leadership role is responsible for minimizing legal risks, protecting the organization’s interests, supporting business growth, and fostering a strong culture of ethics, integrity, and compliance.

Key Responsibilities

  • Develop and implement the legal strategy in alignment with the Group’s corporate objectives and long-term business plans.
  • Serve as the principal legal advisor to executive management and provide strategic legal counsel on corporate, commercial, and regulatory matters.
  • Lead, mentor, and develop the legal team while promoting high performance, collaboration, and professional growth.
  • Oversee legal due diligence for corporate transactions, investments, acquisitions, partnerships, and other strategic initiatives.
  • Manage legal aspects of Public-Private Partnership (PPP) projects and provide guidance throughout related negotiations and agreements.
  • Direct the drafting, review, negotiation, and administration of commercial contracts, procurement agreements, service contracts, employment agreements, leases, confidentiality agreements, software licenses, and other legal documents.
  • Monitor changes in legislation and regulatory requirements, ensuring the organization remains compliant with applicable laws and governance standards.
  • Advise senior leadership on corporate governance, business structures, mergers and acquisitions, employment law, insurance, property matters, and commercial transactions.
  • Develop legal strategies to mitigate organizational risks, resolve disputes, reduce litigation exposure, and negotiate favorable settlements.
  • Manage relationships with external legal counsel and oversee outsourced legal services to ensure quality and cost-effective legal support.
  • Represent the organization in legal proceedings, negotiations, regulatory matters, and high-level discussions when required.
  • Collaborate closely with Finance, Human Resources, Procurement, Supply Chain, and other business functions to support commercial and operational decisions.
  • Establish and maintain effective contract management and legal risk assessment processes.
  • Lead compliance initiatives, including legal awareness programs, ethics training, and Code of Conduct implementation across the organization.
  • Participate in executive committees and strategic leadership meetings, providing legal insight to support business decision-making.
  • Review and enhance legal processes, governance frameworks, and compliance procedures to improve operational efficiency and transparency.
  • Prepare written legal opinions, policy recommendations, and executive reports on significant legal and regulatory matters.

Required Skills & Qualifications

  • Extensive expertise in corporate law, commercial law, corporate governance, regulatory compliance, litigation management, labor law, and contract law.
  • Strong experience in drafting, reviewing, negotiating, and managing complex commercial agreements.
  • Proven ability to identify legal risks and develop practical business-focused legal solutions.
  • Excellent analytical, negotiation, and decision-making skills.
  • Strong leadership experience with the ability to manage high-performing legal teams.
  • Outstanding communication and stakeholder management skills, including interaction with executive leadership and external regulators.
  • Experience supporting mergers and acquisitions, corporate restructuring, joint ventures, and Public-Private Partnership (PPP) projects is highly desirable.
  • High ethical standards with sound professional judgment and discretion.
  • Experience with ERP systems; SAP knowledge is considered an advantage.

Experience Requirements

  • Bachelor’s degree in Law (LLB) with a professional legal qualification; a Master’s degree (LLM) is preferred.
  • Minimum 15 years of progressive legal experience.
  • At least 10 years in a senior management or leadership role within a corporate legal environment.
  • GCC experience (minimum 5 years) is preferred.
  • Admission to practice law in a recognized jurisdiction is considered an advantage.
